1. What is the dividend payout policy of ACLEDA Bank?

ACLEDA Bank has a dividend policy that allows for distribution of up to 50% of net profit after tax as dividend. The decision on how much to distribute dividend will be made by the Board of Directors and Shareholders in line with expectation of business growth. 2. When start? And may I know the content for today?

Today the bank conducted ROADSHOW. BOOK BUILDING from 3 March – 14 March 2020 (8:00am to 5:00pm, Monday to Saturday).

4. What is the expansion plan in the next 3 years? What's your growth target/expectation (income/profit) in the next 3 years?

Compound annual growth rate for next 3 year: 11.8% for total assets and 13.67% for net profit. To do so we plan to focus on:

  • Enhancing digital banking by branch remodeling and digitalization, improve IT system/security and develop human resources.
  • Corporate with both local and international partners and strengthen all subsidiaries business including expanding itself to the region.

6. When I successfully of book building, in case of need cancel it possible or not? How many share did ACLEDA Bank exact to list?

7. What's the transaction fee and tax?

There will have no transaction fee and tax for buying share at IPO stage, but at secondary stage will be incurred the transaction fee.

8. Why should we invest with ACLEDA Bank?

9. How to trade?

You can trade at the secondary market through the counter of securities firm you opened trading account with or Mobile Trading System developed by Cambodia Securities Exchange Trading Hours.

The Trading hours shall be determined based on trading method in use as the following:

Auction Trading Method (ATM)

The trading hours shall be from 8:00 am to 3:00 pm and shall be divided into sessions as follows:

  • Opening session:
    • Ordering time: 8:00 - 9:00 am
    • Trading time: 9:00 am
    • Auction method: Single price auction
  • Continuous session:
    • Ordering and trading time: 9:00 am - 2:50 pm
    • Auction method: Multiple price auction
  • Closing session:
    • Ordering time: 2:50 - 3:00 pm
    • Trading time: 3:00 pm
    • Auction method: Single price auction

Note: If there are no orders matched at 09:00 am, the opening session shall be extended until there is a matching during the day.

Negotiated Trading Method (NTM)

10. If you quote less than the Book Building Price, what happens to your deposit and do you get shares, if yes, at what price?

Price shall be range from 15,000 Riels - 17,000 Riels, if untuneful investor, will refund to investor.

11. What is the estimation of dividend yield in 2020?

The decision on how much to distribute dividend will be made by the board of directors and Shareholders in line with expectation of business growth. For detail, please kindly find the disclosure documents in Chapter 1 point 6.

12. How do you differentiate yourself from your competition? How are you different in terms of advantages?

We are the first local commercial bank going IPO. We stay with Cambodian people for almost 30 years. ACLEDA Bank is the #1 bank in Cambodia which represents the people and economy since our loan outstanding grew in line with GDP growth. Up to 2019 we already have more than 2 million depositors to which annual growth rates increase from time to time reflecting the bank as the most trusted and preferred bank. WE have strong and consistent financial performance and high asset quality and capitalization. 13. When I success in Book building when I need to settle all amount?

At subscription you will require to pay cash 100% of total of number of share you will buy.

14. Is there any restriction on foreigners who would like to subscribe to ACLEDA's shares on the primary and secondary market?

There is no any restriction.

17. What is the purpose of raising fund? What is the plan of investment of ACLEDA?

This is the new phase ever of the bank's history to become a listed bank and to share the benefit to its public. From this IPO, the Bank intends to use the net proceeds that it receives from this offering for general corporate purposes.

22. How book building processes?

23. After we buy the share, how the bank separate the profits to us? And how % of share that ACLEDA Bank sale to public? How many profits % of general banking reserve capital will booking in?
  • The Bank determines a dividend payout ratio which does not exceed 50% (fifty percent) of Net Profit After Tax of the preceding fiscal year. However, the Bank has to follow Conditions of Distribution of Dividends as stated by applicable laws. The Bank shall fix the starting and closing dates of the payment of the dividends. The starting date of the payment of the dividends shall be commended no longer than 7 (seven) working days after the Record Date. The Bank shall pay dividends to all Shareholders whose names are recorded in the official list of Shareholders entitled to receive the dividend within the period of time as mentioned above.
  • Up to 5% of the bank share is going to IPO of which 2% is new share issued.
  • Up to 50% of net profit after tax will be distributed as cash dividend and shall be paid after the Bank obtains the confirmation of bank's account information of each Shareholder. The remaining will go to general reserves.
24. Could you compare price of par value vs book building value (max price)? If it has world economic recessions, how effective to our Bank sector? And what is policy against that issues?
  • Par value is $1 each while Book Building Price ranges from KHR 15,000 – KHR 17,400.
  • In case of economic recessions, it would not affect only to the bank sector but to other sectors whose business both directly and indirectly are related. ACLEDA Bank’s business, results of operations, financial condition, and prospects are dependent on the general macroeconomic. However, no assurance can be given that the present health of Cambodia's economy will be sustained. The long-term outlook depends on Cambodia’s ability to capitalize on rising FDI inflows, to continue to promote domestic investments, while coping with certain risks and challenges that include, but are not limited to, high concentration of exports in the garment, textile, and footwear (GTF) sectors and potential suspension of preferential access to the EU and the US, and high growth in credit to construction and real estate sectors.
25. What if I put the price less then book building price, can I still get book building actual price? If not what should I do next?

The price is range from 15,000 riels - 17,400 riels if apply low amount will not be successful for book building so you could apply in subscription process.

26. What is transaction fee for trading?

There will be no transaction fee and tax for buying share at IPO stage but at secondary stage will be incurred the transaction fee at 0.55% over total value of trading per stransaction.

27. What is the highest value per share of ACLEDA Bank before this IPO?

The bank has never been listed in the market prior to this IPO.

28. When I succeed in book building, if I cancel or not?

If successful book building, you cannot cancel.

29. After this IPO, will ACLEDA Bank issue or list other stocks such as ASA to CSX?

30. How many total shares do ACLEDA have currently? How many owned by and how many left for public? Because I see new shares issuance only around 8 million but subscription up to 17million?

31. I am not sure how to process the purchase of the share?

You shall have the trading account and investor ID and you can apply for book building and subscription.

32. What is the maximum share that we can buy?

33. Do buyer/seller need to pay any tax to government? If yes, what is rate?

There will be no transaction fee and tax for buying share at IPO stage but at secondary stage will be incurred the transaction fee at 0.55% over total value of trading per transaction.

34. If I put 625 shares, what will happen?

You will deposit 10% in book building process and subscription process will be pay in full 100% amount of total shares you bought and you will become an ACLEDA Bank's shareholder.

35. How you monitoring AML in term of welcome to public investors fund?

The AML checking and monitoring is conducted by the bank when the investors transfer or deposit their money into their banking account following NBC's AML regulations and related pliable laws.

36. According to the information received, each investor can only buy 1,000 shares in maximum. How to do if investor want to buy more than 1,000 shares?

If oversubscribed we will using adjusted pro-rata method is a slight modified version of the pro-rata method. It is different from original pro-rata method in that before allocating the available shares by pro-rata, we allocate 1,000 shares or less if the total number of shares is less than 1,000 first to all investors. The remaining shares after this allocation will then be allocated on the pro-rata basis.

37. Turn 25% of net income into dividend and divide among 437.56 million shares or the public 17.50 million shares?

In 2020, cash dividend is distributed, out of net profit after tax for 2019, to existing shareholders currently holing 428,818,154 shares. For investors who become shareholders of the Bank by subscribing to the shares in the IPO / in the secondary market, such investors are entitled to dividend distributed out of NPAT of 2020 onwards.

Regarding to Dividend Policy, The Bank shall fix the starting and closing dates of the payment of the dividends. The starting date of the payment of the dividends shall be commended no longer than 7 (seven) working days after the Record Date. The Bank shall pay dividends to all Shareholders whose names are recorded in the official list of Shareholders entitled to receive the dividend within the period of time as mentioned above.

Note: Record Date means The date on which a holder of the security must be registered with the issuer in order to receive a coupon or dividend payment on the next payment date.

Trading on CSX not required to pay tax. But you have to pay commission fee to brokerage firm. The commission fee/Brokerage fee is 0.55% over total value of trading per transaction minimum charge KHR4,000.

19. Does ACLEDA have custom protection policies for this IPO?

36. After receiving investor ID, how can we open trading account with CSX?

After receiving Investors ID, ACLEDA Securities (ACS) proceeds trading account opening and then ACS will inform investor when the trading account opening is completed.

37. How many shares does ACLEDA has? All will be sell to public?

38. In book building step, let say I bid 8,000 KHR per share and 100 share if it's successful which I got 100 shares with 8,000 KHR or I need to request to buy in retail subscription stage again.

39. Can we buy first stock in book building stage?

Yes, you can join in book building stage. But you shall have Investor ID and Trading Account.

40. The share will listing in CSX is included all ACLEDA business group or only ACLEDA Bank in Cambodia?

We will announce in public in the near future after get official approval from relevant authorities.

41. Will you introduce web-based in public?

The MTS is using web-based connection and accession in public with the password for login.

42. I already have investor account with another broker (not ACLEDA Securities), can I buy ACLEDA stock in book building or retail subscription stage?

Yes, you can.

43. Any charge from ACLEDA Bank if I use ACLEDA Bank account transfer to ACLEDA Securities?

Cash transfer from ACLEDA Bank account to ACLEDA Securities (ACS)'s trading account is free of charge but cash transfer from trading account at ACS to ACLEDA Bank account at branch out of Phnom Penh will charge at rate 0.08% minimum KHR4000. When ACLEDA mobile put in use in the near it will be free and fast.

44. When we trade out share, the money earn will go personal account or trade account?

When Investors traded their shares, the money earned will go to their trading account.

45. Does CSX has any improvement plan in trending platform? Something like full web-based trading or active mobile because I feel inconvenience with current web mobile app for trading.

Currently, CSX already developed for trading share in Market (mts.csx.com.kh).

46. Require only Khmer riel account? To get investor ID, can use other bank account? To transfer money to buying-selling account, can we transfer from other accounts beside the first register one?

Bank account is optional it can be USD or KHR. For investor ID application you can use any other bank account. To transfer money to trading account, Investor can transfer from any bank account at other banks.

47. Can I use account of ACLEDA mobile to transfer? Because account mobile itself have already Khmer Riel and USD

You can use account of ACLEDA mobile for this transfer of your money. This option will be available soon in this month.
